1. Agreement to Terms

By accessing and using Phothor's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Service

Phothor provides software development services, including but not limited to:

  • Custom web application development
  • Mobile application development
  • SaaS platform development
  • API development and integration
  • DevOps and cloud infrastructure consulting
  • Technical consulting and advisory services

3. Project Engagement

3.1 Scope of Work

All projects will have a defined scope of work outlined in a separate agreement or statement of work. The scope may be adjusted by mutual written agreement.

3.2 Timeline and Deliverables

Project timelines are estimates and subject to change based on project complexity, client feedback cycles, and unforeseen technical challenges. We will communicate any timeline adjustments promptly.

3.3 Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying necessary content, assets, and access credentials
  • Making key decision-makers available for consultations
  • Timely payment according to agreed terms

4. Intellectual Property

4.1 Client-Owned IP

Upon full payment, clients own the custom code and deliverables created specifically for their project, excluding any pre-existing frameworks, libraries, or tools.

4.2 Third-Party Components

Projects may incorporate open-source libraries and frameworks subject to their respective licenses. We will inform clients of any licensing requirements.

4.3 Portfolio Use

We reserve the right to use completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

5. Payment Terms

5.1 Pricing

Pricing will be outlined in project proposals. We offer both fixed-price and hourly arrangements depending on project scope.

5.2 Payment Schedule

Payment schedules will be defined in project agreements. Typical arrangements include:

  • 50% upfront, 50% upon completion (for smaller projects)
  • Monthly retainers (for ongoing engagements)
  • Milestone-based payments (for larger projects)

5.3 Late Payments

Late payments may result in project suspension until payment is received. A 1.5% monthly fee may be applied to overdue balances.

6. Warranties and Limitations

6.1 Service Warranty

We warrant that services will be performed in a professional manner consistent with industry standards. We will correct any defects in our work at no additional charge within 30 days of project completion.

6.2 Limitation of Liability

Our liability is limited to the fees paid for the specific project in question. We are not liable for indirect, incidental, or consequential damages.

6.3 No Warranty on Third-Party Services

We make no warranties regarding third-party services, APIs, or platforms integrated into projects.

7. Confidentiality

We respect client confidentiality and will not disclose sensitive information without permission. We may require clients to sign a mutual non-disclosure agreement for projects involving proprietary information.

8. Termination

8.1 Termination by Client

Clients may terminate projects with written notice. Clients are responsible for payment of work completed up to the termination date.

8.2 Termination by Phothor

We reserve the right to terminate projects if:

  • Payment is not received as agreed
  • Client fails to fulfill their responsibilities
  • The working relationship becomes untenable

9. Support and Maintenance

Post-launch support and maintenance are available under separate agreements. Bug fixes for defects in our work are provided free of charge within 30 days of launch.

10. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date.

11. Governing Law

These terms are governed by the laws of the jurisdiction in which Phothor operates. Any disputes will be resolved through arbitration or in the appropriate courts.
